Terms of Service Agreement

This Agreement describes the terms and conditions applicable to your use of services (also known as the 鉄ervice�) at ecThai.com.

1. Acceptance Of Terms. You agree to the terms and conditions set forth in this Agreement (典erms�) when you use one, all or any of the Services. ecThai.com may in its own discretion change the Terms from time to time. When we do so, we shall inform users of our Service by any of the following means; a post notice on our website or an email notice directly to you which will henceforth be effective immediately.  You must not continue to use our Service if you do not agree to our Terms either wholly or in part. This Agreement may not be otherwise modified except in a writing signed by an authorized officer of ecThai.com.

2. Fees. Using our Service is free! However, we reserve the right to charge fees for any part of our Service. ecThai.com is not responsible for any charges, expenditure, taxes, etc. that you incur in using our Service. We do also have charges for special services, please visit our Services page for more detail.

3. ecThai.com As A Trading Information Provider. ecThai.com does not involve itself in the actual transaction between the seller and the buyer.  Our site acts only as the place for buyers to locate sellers and vice versa, thus we have no control over the quality, safety, and legality of the goods being listed in our website. Also, we do not take responsibility for anything that happens between the buyer and the seller.

5. Personal Information. When using our Service, you may submit to us your 撤ersonal Information� which includes any information data, text, software, music, sound, photographs, graphics, video, messages or other materials.  You are responsible for the accuracy of your own Personal Information and we have the right to not publish your Personal Information as we see fit.

6. Licensing. You grant to us the non-exclusive, perpetual, worldwide, irrevocable, royalty-free right (with the right to sublicense through multiple tiers) to use, reproduce, translate, modify, publish, adapt, create derivative works from, distribute, perform and display (in whole or in part) your Personal Information, and/or to incorporate your Personal Information in other works in any form, media, or technology now known or later developed.

7. Use Common Sense. We cannot nor do we try to control the information provided by other users which is made available through the Service. These difficulties may result in loss of data or other service interruptions. For this reason,  YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ecThai.com EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. ecThai.com MAKES NO WARRANTY THAT: (i) THE SERVICE WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; AND (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM ecThai.com OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE AGREEMENT.

Note: Some jurisdictions do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights which vary from jurisdiction to jurisdiction.

11.Limit of Liability. YOU EXPRESSLY UNDERSTAND AND AGREE THAT ecThai.com SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF ecThai.com HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASES OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE.

Note: Some jurisdictions do not allow the limitation of liability, so the foregoing limitation may not apply to you.

12.Indemnity. You agree to indemnify and hold ecThai.com and our subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand (including legal expenses and the expenses of other professionals) made by a third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

13.Compliance With Laws. You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of the Service.

14. Links. The Service may provide, or third parties may provide, links to other World Wide Web sites or resources. Because ecThai.com has no control over such sites and resources, you acknowledge and agree that ecThai.com is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that ecThai.com shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

15.Miscellaneous. The Agreement constitutes the entire Agreement between you and ecThai.com and governs your use of the Service, superseding any prior written or oral Agreements between you and ecThai.com. The Agreement shall be governed in all respects by the laws of the State of California without regard to its conflict of law provisions. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.
